Light Sync Media – Terms & Conditions

​Effective Date: April 3, 2026

Welcome to Light Sync Media, LLC (“Light Sync Media,” “we,” “us,” or “our”).
By engaging our services, you (“Client”) agree to the following terms.

1. General Terms (Applies to All Services)

 

Scope of Work
All services are provided as outlined in written agreements, proposals, or confirmed communications. Any work outside the agreed scope may incur additional fees.

 

Payment Terms

  • A deposit (typically 50%) may be required before work begins

  • Final deliverables are released only after full payment is received

  • Late payments may result in delays or additional fees

 

Client Responsibilities
The Client agrees to:

  • Provide all necessary assets and materials

  • Ensure they have legal rights to all provided content

  • Provide timely and consolidated feedback

 

Turnaround Times
Delivery timelines depend on scope, responsiveness, and asset delivery. Delays from the Client may result in adjusted timelines.

 

Ownership & Usage Rights

  • Final deliverables are transferred upon full payment

  • Light Sync Media retains the right to use completed work for portfolio and promotional purposes unless otherwise agreed in writing

 

File Storage
Project files are stored for a limited time ([30–90 days]) after completion. Long-term storage is not guaranteed.

 

Cancellations

  • Deposits are non-refundable once work has begun

  • Clients are responsible for payment of work completed up to cancellation

 

Limitation of Liability
Light Sync Media is not liable for:

  • Client-provided asset issues

  • Third-party platform performance or failures

  • Indirect or consequential damages

2. DCP Creation Services (Additional Terms)

 

Scope of Service
DCP services include formatting, encoding, and preparing a Digital Cinema Package from a Client-provided master file.

​

Turnaround Time
Standard turnaround is 2-5 business days. Rush services may be available for an additional fee.

 

Payment Terms

  • Full payment is required before work begins

  • Due to the expedited nature of this service, all DCP orders are processed immediately upon receipt of payment

 

Client Deliverables
The Client must provide:

  • A final, locked picture (no further edits)

  • Final audio mix

  • Any required specifications (if known)

Light Sync Media is not responsible for errors in the provided master file.

 

Turnaround Guarantee
Light Sync Media guarantees delivery within 2-5 business days of receiving:

  • Full payment

  • All required and properly formatted assets

This guarantee does not apply if files are missing, incorrect, or updated during the process.

 

Playback Guarantee (Money-Back Guarantee)
Light Sync Media guarantees that the delivered DCP will be properly formatted for standard theatrical playback.

If the DCP fails to play correctly in a professional theater environment due to a verified encoding or formatting error caused by Light Sync Media:

  • We will first correct and redeliver the DCP at no additional cost

  • If the issue cannot be resolved, the Client will receive a full refund

 

Conditions of Guarantee
This guarantee does not apply to issues caused by:

  • Theater or projection system errors

  • Festival-specific technical limitations

  • Errors in the Client’s provided master file (including audio, resolution, or formatting issues)

  • Changes to the film after delivery

 

Verification Requirement
To qualify for a refund, the Client must provide reasonable documentation of the issue (e.g., projectionist report or video evidence).

File Storage
DCP files and assets are stored for up to [30 days] after delivery.

3. Post-Production & Editing Services (Additional Terms)

 

Scope of Work
Includes editing, color correction, sound design, and related post-production services.

 

Revisions

Unless otherwise stated:

  • Projects include 3 rounds of revisions

Additional revisions or changes in creative direction may incur additional fees.

 

Creative Direction
Revisions must align with previously approved direction. Major changes may be treated as a new scope.

 

Payment Terms

  • 50% deposit required to begin

  • Final payment required before delivery

4. Monthly Retainer Services (Additional Terms)

 

Scope of Services
Retainers include a set number of deliverables per month as agreed in writing.

Unused deliverables do not roll over unless otherwise stated.

 

Workflow & Turnaround
Projects are scheduled based on a shared workflow. Turnaround times depend on asset delivery and communication.

 

Revisions
Each deliverable includes:

  • 1–2 rounds of revisions

Additional revisions may be billed separately.

 

Payment Terms

  • Retainers are billed monthly in advance

  • Work begins once payment is received

 

Minimum Commitment
Retainers require a minimum commitment of 3 months unless otherwise agreed.

 

Cancellation
Either party may cancel with [30 days] written notice.

 

Performance Disclaimer
Light Sync Media does not guarantee performance metrics such as views, engagement, or conversions.

 

 

5. Governing Law

These terms are governed by the laws of the State of Illinois.
